Terms of Service.

These Terms of Service ("Terms") govern your access to and use of InspectDay (the "Service"), operated by MakerStudio Software LLC ("we", "us" or "our"). By accessing or using the Service, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you have read, understood and agree to these Terms. If you use the Service on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

2. Description of Service

InspectDay is inspection reporting software. It lets inspection businesses build inspection templates, schedule inspections, record conditions, findings, photos and recommended actions, and publish reports for their clients. The Service is available through a web app and native mobile apps.

3. Account Registration

You must provide accurate and complete information when you create an account. You are responsible for keeping access to your sign-in email and accounts secure, and for all activity under your account. Tell us at team@inspectday.com straight away if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose or in breach of any applicable law;
• attempt to gain unauthorized access to any part of the Service;
• interfere with or disrupt the integrity or performance of the Service;
• upload malicious code, viruses or harmful data;
• reverse engineer, decompile or disassemble any part of the Service;
• resell, sublicense or redistribute the Service without our written permission.

5. Your Data and Reports

You keep all rights to the data you submit to the Service, including inspections, photos and reports ("Your Data"). You grant us a limited license to use Your Data only to provide and improve the Service. We do not sell Your Data or use it for purposes unrelated to the Service.

You decide who receives your reports, and you are responsible for their content. Anyone with a direct report link can open that report, so share links only with people who should see them. Reports shared by email ask the recipient for a one-time passcode.

6. Subscription and Payment

Some features require a paid plan. Prices, billing cycles and plan limits are listed on our pricing page. Paid plans are billed through Stripe, monthly, quarterly or yearly, and renew automatically unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are covered by our refund policy.

We may change prices with 30 days' notice. A price change never applies to the current billing period.

7. Free Plan

The Free plan includes the limits described on our pricing page. We may change Free plan features with reasonable notice.

8. Service Availability

We work to keep the Service available but do not guarantee uninterrupted access. We announce scheduled maintenance in advance when we can. We are not liable for downtime caused by events beyond our reasonable control.

9. Data Security

We use industry-standard security measures to protect Your Data, but no system is completely secure. You are responsible for keeping your sign-in methods secure. Our data practices are described in our privacy notice.

10. Intellectual Property

The Service, including its design, features, code, documentation and branding, is owned by MakerStudio Software LLC and protected by intellectual property laws. These Terms give you no rights to our intellectual property beyond the limited right to use the Service.

11. Termination

We may suspend or terminate your account if you breach these Terms or harm the Service or other users. On termination, your right to use the Service ends immediately. You may ask us to export Your Data within 30 days of termination.

You can close your account at any time; see closing your account.

12. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits or data, arising from your use of the Service. Our total liability will not exceed the amount you paid us in the 12 months before the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

14. Indemnification

You agree to indemnify and hold harmless MakerStudio Software LLC from any claims, damages or expenses arising from your use of the Service, your breach of these Terms, or your violation of any third party's rights.

15. Changes to These Terms

We may update these Terms from time to time. We will tell you about material changes by email or in the Service. If you keep using the Service after a change, you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules. Disputes will be resolved in the state or federal courts located in Wyoming.
